Terms of Service

1. Eligibility

You must be at least 18 years old and legally able to enter into a binding contract to use the Service. By using the Service, you represent that you meet these requirements.

2. Beta service

The Service is currently in beta. Features may change, break, or be removed without notice. We may impose limits, change pricing, or end the beta at any time. Beta access is not a guarantee of continued availability.

3. Your account

You are responsible for keeping your account credentials confidential and for all activity that occurs under your account. You agree to provide accurate, current information and to keep it up to date. You may not share, sell, or transfer your account.

4. The Service

ONARQ is a coaching and goal-tracking product that uses artificial intelligence to generate roadmaps, conduct voice coaching conversations, and assist with goal-related work in a workspace. AI outputs may be inaccurate or incomplete. The Service is not a substitute for professional medical, legal, financial, psychological, or therapeutic advice. Do not rely on it for any of those purposes.

5. Subscriptions, billing, and refunds

The Service is offered on a free tier and paid subscription tiers. Paid subscriptions renew automatically at the end of each billing period (monthly or annual) until you cancel. Payments are processed by Stripe and are charged in U.S. dollars unless otherwise indicated. Prices may change with notice to you before the next renewal.

You can cancel at any time from Settings → Subscription. Cancellation stops your next billing cycle; you retain access through the end of the period you have already paid for.

Refunds. All payments are non-refundable. We do not provide refunds or credits for partial subscription periods, unused features, or downgrades. You may cancel anytime to prevent future charges.

6. Your content

“User Content” means anything you submit, upload, generate, or share through the Service, including goals, roadmaps, notes, documents, chat messages, voice recordings, transcripts, task completion blurbs, and demographic context. You retain ownership of your User Content.

License to ONARQ. By submitting User Content to the Service, you grant ONARQ a worldwide, royalty-free, perpetual, irrevocable, sublicensable, transferable license to host, store, reproduce, modify, create derivative works of, distribute, publicly display, and otherwise use User Content for any purpose related to operating, improving, and developing the Service, including (a) generating personalized coaching, plans, and AI responses for you; (b) training, fine-tuning, and evaluating AI models that power the Service; (c) producing aggregate and anonymized analytics and research; and (d) using anonymized or de-identified excerpts for marketing, case studies, and product communications.

You can opt out of having your User Content used to train or fine-tune AI models at any time in Settings → Data & privacy. Opting out applies going forward. All other portions of the license above remain in effect for as long as your User Content is stored on the Service.

You represent that you own or have the necessary rights to submit your User Content and that it does not violate the rights of any third party.

7. Acceptable use

You agree not to:

• Use the Service for any illegal purpose or in violation of any law.
• Submit User Content that is unlawful, infringing, defamatory, harassing, abusive, hateful, or that contains malware.
• Attempt to reverse engineer, decompile, scrape, or extract source code or model weights from the Service.
• Use automated tools (bots, scrapers, crawlers) to access the Service except as we expressly permit.
• Interfere with or disrupt the Service or other users.
• Use the Service to develop a competing product.
• Share your account with another person or use the Service on behalf of someone else without our written permission.
• Misrepresent the AI's output as professional advice from a licensed practitioner.

We may suspend or terminate your account if you violate these rules.

8. AI disclaimers

Outputs from the Service are generated by AI models and may be inaccurate, incomplete, biased, or outdated. The Service is provided for informational and personal-development purposes only. The coach is not a licensed therapist, doctor, lawyer, accountant, financial advisor, or fiduciary. Do not act on AI outputs without independent judgment and, where appropriate, advice from a qualified professional.

9. Intellectual property

The Service, including all software, design, copy, and branding, is owned by ONARQ and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for personal, non-commercial purposes in accordance with these Terms.

10. Third-party services

The Service integrates with third-party services including Stripe (payments), Google (OAuth sign-in), Anthropic, Deepgram, and ElevenLabs (AI processing), and others described in our Privacy Policy. Your use of those services is governed by their own terms. We are not responsible for third-party services.

11. Termination

You may cancel your subscription or delete your account at any time from Settings. We may suspend or terminate your account for violation of these Terms, fraud, abuse, or other conduct that harms the Service or other users. On termination, your right to use the Service ends immediately. Sections of these Terms that by their nature should survive (including 6, 8, 12, 13, 14, 15) survive termination.

12. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR THAT AI OUTPUTS WILL BE ACCURATE. YOUR USE OF THE SERVICE IS AT YOUR OWN RISK.

13. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ONARQ AND ITS OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS ($100).

14. Indemnification

You agree to defend, indemnify, and hold harmless ONARQ from and against any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising out of (a) your User Content, (b) your violation of these Terms, or (c) your violation of any rights of a third party.

15. Governing law and dispute resolution

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-law principles. Any dispute arising out of or relating to these Terms or the Service will be resolved exclusively by binding arbitration administered by JAMS under its Streamlined Arbitration Rules, seated in Delaware. You and ONARQ each waive the right to a jury trial and to participate in a class action. This section does not apply to disputes that may be brought only in small-claims court, or to claims for injunctive relief related to intellectual property.

16. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will notify you by email or by a notice inside the Service before the changes take effect. Continued use of the Service after changes take effect means you accept the updated Terms.
